1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Penziv, Inc. ("Penziv", "we", "us", or "our") governing your access to and use of the Penziv website, diagnostic question bank, clinical calculators, Anki analytics tools, and related software services (collectively, the "Service").

By accessing or using the Service, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and possess the legal authority to agree to these Terms. If you do not agree, you must not access or use the Service.

Strict Medical & Clinical Education Disclaimer:Penziv is strictly an educational preparation tool designed to help students master high-stakes standardized medical exams (such as USMLE Step 1, Step 2 CK, and MCAT). Penziv DOES NOT provide medical advice, diagnosis, treatment, or formal clinical decision support for real human patients. All clinical algorithms, scoring calculators (including MELD, Glasgow Coma Scale, Wells Criteria, APGAR, CHA₂DS₂-VASc, and Parkland Formula), and AI-generated rationales are simulated educational exercises. Healthcare professionals and trainees must rely on verified primary clinical literature, institutional protocols, and independent clinical judgment when evaluating living patients.

2. Prohibition on Protected Health Information (PHI)

Penziv is an educational technology service, not a HIPAA Covered Entity or Business Associate. You agree that you shall never input, upload, or transmit any real, identifiable Protected Health Information (PHI), as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) or applicable international health privacy laws. Any clinical calculator inputs or sample clinical vignettes must be entirely synthetic or de-identified educational simulations.

3. Use License & Intellectual Property

Subject to these Terms, Penziv grants you a limited, non-exclusive, non-transferable, revocable license to access the Service solely for your personal, non-commercial educational study.

All software, question vignettes, cognitive fingerprinting algorithms, user interfaces, branding, and graphics are the exclusive intellectual property of Penziv, Inc. You shall not:

Reverse engineer, decompile, or extract source code or underlying neural weights of the Service;
Systematically scrape, harvest, or bulk export question stems, answer options, or clinical rationales;
Resell, sublicense, or share account credentials to circumvent subscription tier limits;
Deploy automated bots, crawlers, or load-stressing scripts against our API endpoints.

4. Subscriptions, Payments & Click-to-Cancel

Billing & Cancellation Terms

Penziv offers a Free tier and optional paid recurring subscriptions ("Penziv Pro"). By subscribing to Penziv Pro, you authorize recurring charges to your designated payment method via our payment processor, Stripe, Inc.

Recurring Billing: Subscriptions automatically renew at the conclusion of each billing cycle (monthly or annually) until cancelled.
Click-to-Cancel: In accordance with FTC guidelines and the Restore Online Shoppers' Confidence Act (ROSCA), you may cancel your recurring subscription at any time without penalty via your Account Settings → Manage Subscription (Stripe Customer Portal).
Effect of Cancellation: Cancellation takes effect at the end of your current paid billing period; you retain full Pro access through that period.
Refund Policy: If you experience technical defects preventing access, contact support@penziv.com within 7 days of purchase for review.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

PENZIV DOES NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR SPECIFIC EXAM SCORING REQUIREMENTS, (B) THE QUESTIONS OR EXPLANATIONS WILL BE FREE OF TYPOGRAPHICAL OR FACTUAL ERRORS, OR (C) SERVICE ACCESS WILL BE UNINTERRUPTED OR SECURE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PENZIV, INC., ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF EXAM ATTEMPTS, TUITION FEES, OR DATA LOSS) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF FIFTY US DOLLARS ($50) OR THE AMOUNT PAID BY YOU TO PENZIV IN THE PRECEDING TWELVE (12) MONTHS.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA), and you waive any right to participate in class actions.
